1. Agreement and eligibility
These Terms of Service ("Terms") are a binding agreement between the person or organization using the service ("you") and Authenti8 Pvt Ltd, a company with its registered office in Mumbai, Maharashtra, India ("Authenti8," "we," or "us"). By accessing or using the service, you accept these Terms. If you do not accept them, do not use the service.
You must be legally capable of entering into this agreement and at least 18 years old, or the age of legal majority where you live. If you use the service for an organization, you represent that you have authority to bind it, and "you" includes that organization.
An order form, enterprise agreement, data-processing agreement, or other written agreement signed by Authenti8 may add to or replace portions of these Terms. If there is a conflict, the signed agreement controls for that conflict.
2. The service
Authenti8 provides consent-based integrity verification and related workflow, reporting, administration, and support capabilities for live interviews. Features and availability may depend on the purchased plan, supported devices and services, account configuration, and applicable law.
The service is a decision-support tool. It does not guarantee that misconduct occurred or did not occur, that an interview was error-free, or that any person is suitable for employment or another opportunity.
3. Accounts and authority
You must provide accurate information, maintain the confidentiality of credentials, use reasonable safeguards for accounts and devices, and promptly notify Authenti8 of suspected unauthorized access. You are responsible for activity performed through your account except to the extent caused by Authenti8's breach of these Terms.
Organization administrators control their workspace, authorized users, roles, integrations, and records. You may grant access only to people who require it for an authorized business purpose and must promptly remove access when it is no longer needed.
4. Customer responsibilities
You are responsible for your use of the service and for ensuring that your notices, interview practices, employment practices, monitoring, data processing, retention, and decisions comply with applicable laws, regulations, contracts, and policies.
You must provide candidates and other participants with legally sufficient notice, obtain all permissions required independently of the service, offer any legally required alternatives or accommodations, and limit access to results to authorized personnel. You must not use the service where consent cannot lawfully be obtained or where its use is prohibited.
You are responsible for reviewing relevant context and service-health information before relying on a result. You must not represent that Authenti8 makes hiring decisions or that a service result conclusively establishes dishonesty or misconduct.
5. Candidates and hiring decisions
Candidates may be asked to review disclosures and make a consent choice before an authorized interview session begins. Declining or withdrawing consent may prevent use of protected-interview functionality but does not by itself establish wrongdoing.
The recruiting organization—not Authenti8—controls the interview process and makes hiring, evaluation, accommodation, and other employment-related decisions. Questions about those decisions should be directed to that organization.
6. Acceptable use
You must not, and must not enable another person to:
- use the service unlawfully, deceptively, discriminatorily, or to violate another person's rights;
- access accounts, interviews, reports, systems, or data without authorization;
- interfere with, evade, disable, disrupt, or compromise the service or its safeguards;
- introduce malicious code, conduct unauthorized security testing, scrape the service, or impose an unreasonable load on it;
- reverse engineer, decompile, disassemble, copy, or attempt to derive non-public components of the service, except to the limited extent applicable law expressly prohibits this restriction;
- resell, sublicense, time-share, or provide the service to third parties unless a written agreement with Authenti8 permits it;
- upload or process information you do not have the right to use; or
- use service output as the sole basis for a legal or similarly significant decision about a person.
7. Third-party services
The service may interoperate with Google Calendar, Google Meet, Chrome, payment providers, and other third-party products. Your use of those products is governed by their own agreements and policies. Authenti8 does not control and is not responsible for third-party products, changes, outages, data practices, or continued availability.
You authorize Authenti8 to exchange information with services you connect as necessary to provide the requested integration. You may disconnect an integration, subject to any resulting loss of functionality and applicable retention obligations.
8. Fees and subscriptions
Prices, usage limits, credits, billing periods, renewal terms, taxes, and payment terms are stated at purchase or in the applicable order form. Unless stated otherwise, subscriptions renew for successive periods until cancelled and fees are non-refundable except where these Terms, the applicable purchasing terms, or law require otherwise.
You authorize Authenti8 and its payment providers to charge the selected payment method. You are responsible for applicable taxes other than taxes based on Authenti8's net income. We may suspend paid features for overdue undisputed amounts after reasonable notice where permitted by law.
9. Ownership and licenses
Authenti8 and its licensors retain all rights in the service, software, documentation, designs, trademarks, and related technology. Subject to these Terms and payment of applicable fees, Authenti8 grants you a limited, non-exclusive, non-transferable, revocable right to use the service during the applicable subscription for your internal authorized purposes.
You retain rights in information you lawfully submit to the service. You grant Authenti8 a worldwide, non-exclusive license to host, process, transmit, reproduce, and display that information only as reasonably necessary to provide, secure, support, and comply with legal obligations relating to the service.
If you provide feedback, you permit Authenti8 to use it without restriction or payment, provided we do not publicly identify you as its source without permission.
10. Confidentiality
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use it only to perform or exercise rights under the agreement and will protect it using reasonable care. This obligation does not apply to information that is lawfully public, already known without restriction, independently developed, or rightfully obtained from another source.
A party may disclose confidential information when legally required if, where lawful, it gives prompt notice and reasonable assistance to seek protective treatment.
11. Privacy and data
Our Privacy Policy describes how Authenti8 handles personal information. Where applicable, a separate data-processing agreement governs Authenti8's processing on behalf of a customer. You are responsible for the legality, accuracy, and quality of information you provide and for instructions you give concerning that data.
Authenti8 may use aggregated or de-identified information that does not identify an individual or customer to operate, secure, analyze, and improve the service, subject to applicable law and contractual restrictions.
12. Availability and changes
We aim to operate the service reliably but do not promise uninterrupted or error-free availability. Maintenance, security events, third-party dependencies, network conditions, device configuration, and events outside our reasonable control may affect operation.
We may improve, modify, or discontinue features. For a paid subscription, we will provide reasonable notice of a material reduction in core functionality when practicable, unless immediate action is required for security, legal compliance, or a third-party change.
Beta, preview, evaluation, and early-access features may be incomplete, change without notice, and be discontinued at any time. They are provided for evaluation and may be subject to additional restrictions.
13. Suspension and termination
You may stop using the service at any time and may cancel a subscription according to the applicable purchasing terms. We may suspend or limit access when reasonably necessary to address a security risk, unlawful activity, breach of these Terms, non-payment, harm to users or the service, or a legal requirement. When practicable, we will provide notice and an opportunity to cure.
Either party may terminate for a material breach that remains uncured after reasonable written notice, or immediately if the breach cannot be cured. Upon termination, your right to use the service ends. Provisions that by their nature should survive—including payment obligations, ownership, confidentiality, disclaimers, liability limits, indemnification, and dispute terms—will survive.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." AUTHENTI8 DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
AUTHENTI8 DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT ALL EVENTS OR CONDITIONS WILL BE IDENTIFIED; OR THAT OUTPUT WILL BE COMPLETE, ACCURATE, OR APPROPRIATE FOR ANY EMPLOYMENT OR OTHER DECISION. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID OR PAYABLE TO AUTHENTI8 FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR US$100 IF NO FEES WERE PAID.
The exclusions and cap above do not apply to your payment obligations; either party's breach of confidentiality obligations or infringement or misappropriation of the other party's intellectual-property rights; your indemnification obligations; fraud, gross negligence, or willful misconduct; or liability that cannot lawfully be limited or excluded. A signed agreement may state different limits.
16. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Authenti8 and its affiliates, officers, directors, personnel, and agents from third-party claims, damages, losses, and reasonable costs arising from your unlawful use of the service, your breach of these Terms, information or instructions you provide, or your hiring and employment practices. Authenti8 will provide reasonable notice and cooperation and will allow you to control the defense, provided no settlement admits fault by or imposes an obligation on an indemnified party without its written consent.
17. Governing law and disputes
The governing law and forum stated in an applicable signed agreement or order form will apply. If none is stated, the laws of India govern, without regard to conflict-of-law principles, and the courts located in Mumbai, Maharashtra, India have exclusive jurisdiction.
Before filing a claim, each party will attempt in good faith for at least 30 days to resolve the dispute through written notice describing the issue and requested relief. Either party may seek urgent injunctive or equitable relief when necessary to protect security, confidential information, or intellectual-property rights.
18. General terms
Neither party may assign the agreement without the other party's consent, except that Authenti8 may assign it in connection with a merger, reorganization, financing, or sale of all or substantially all relevant assets. You must comply with applicable export, sanctions, anti-corruption, and trade laws.
Neither party is liable for delay caused by events beyond its reasonable control. The parties are independent contractors. These Terms do not create an agency, partnership, employment, fiduciary, or third-party-beneficiary relationship.
If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. A waiver must be in writing and is not a waiver of a later breach. These Terms and incorporated documents are the entire agreement about their subject matter and supersede prior discussions concerning it.
19. Changes to these Terms
We may update these Terms to reflect changes to the service, law, security requirements, or business practices. We will post the updated Terms and revise the date above. If a change materially reduces your rights, we will provide additional notice where required. Continued use after the effective date constitutes acceptance to the extent permitted by law. If you do not agree, you must stop using the service.
